Birmingham business owner says 'no Muslims' sign was a joke

It was all a joke, says the Roebuck business owner whose outdoor sign last week sported the phrase "BBQ Pork Restaurant Is Safest No Muslims Inside," igniting an uproar that went global.

"I still can't get over it. It still blows my mind," Chuck Biddinger, owner of Electronic Repair Co., 8518 First Ave. North, said of the resulting furor, and that anyone would find the sign offensive.

A television station last week did a story on the sign and posted it online. Once that happened, "it went viral," and was picked up by several newspapers around the world and on websites such as wonkette.com, Biddinger said.

The phrase was one of hundreds Biddinger has put on his company marquee since 2005, changing it every week to help stir up business, he said. He gets most of the phrases from joke-oriented websites, but this one came from an e-mail he received -- he said he doesn't remember who sent it.

"It's just a freaking joke," he said, noting that the Muslim reference was on one side of the sign. "I don't want to offend people, but they need to lighten up."

The president of the Birmingham Islamic Society said Muslims don't think it is funny.

"This is just a part of the Islamophobia that's going around the country," Ashfaq Taufique said. "It's very offensive . . . Good people in this country wouldn't say it's a joke."

Biddinger said he's gotten just a couple of letters and e-mails criticizing him and that the controversy hasn't hurt his business. "The few calls I've had have been positive," he said.

Taufique said incidents like this strengthen the resolve to continue to reach out to non-Muslims to show "we are part of your community. We are your doctors, your lawyers, your business owners."

Visitors, including Biddinger, are welcome to the Islamic center in Hoover, the mosque in Homewood and worship center in Fairfield to learn more about Muslims and their faith, Taufique said.

"We want to reach out to him and others, to use the opportunity to tell what Islam is all about," Taufique said.

"I'd be glad to talk to them," Biddinger said.

An Outline of Shareholder and Director Liabilities When a Business is in Difficulty

The duties of the directors as a company's officers when it is insolvent move from a primary duty to shareholders to a primary duty to protecting the interests of its creditors.

Shareholders' liabilities are limited to the value of their equity and are protected from liability to creditors under what is known as the "corporate veil".

However, if the shares are only partly paid for and the company enters formal insolvency the creditors can, via the appointment of a liquidator, demand that the shares be fully paid in order to discharge the creditors' liability.

Shareholders often think it is clever to only part pay for shares but if the company goes bust the liquidator will want to recover the unpaid portion of the shares. So, for example, if as a shareholder you own 1000 shares valued at £1 each and you have only paid £250 for them, the liquidator will ask for the remaining £750.

It is also possible that a company's shareholders might have given a personal guarantee at some stage during their involvement with the company.

It might be that at start-up for instance, particularly when a family member has started a small business, or when the company subsequently entered a contract such as a lease, some or all of the shareholders personally guaranteed the contract and then later forget about it, especially if they are no longer directors or officers of the company as they may have been in its early days. It can also be an issue after the shareholders have sold their shares but not discharged their personal guarantees.

Directors, however, can be held personally liable under the Insolvency Act 1986 for money owed to creditors.

They must not sell any assets under their market value. They must be fair and not pay some creditors in preference to others. The fiduciary duty imposed on the directors of an insolvent company leaves them with personal liabilities that are not imposed on shareholders.

However, it is often the case with small companies that the director and shareholder are one and the same and in those situations the director must remember that he or she wears different hats as director, shareholder, employee and also as a creditor, if they have lent money to the company. In particular this is an area where repayimng director loans can attract a charge of preference as referred to above.

In a recent case of a manufacturing company that went into liquidation where all the family members who were both shareholders and employees as well as creditors because they had lent the company money, as shareholders they had to pay in unpaid share capital even though they were creditors because they were not able to offset the money they were owed as creditors against the money they were liable to pay as shareholders.

Liquidators expect the unpaid share capital to be paid when a company enters liquidation. While complicated, the unpaid portion of share capital is often not treated as an asset that can be set off against the loan as a liability, hence the reason that unpaid share capital can be claimed even when the shareholder is a creditor of the company.

It may seem complicated and unfair and therefore it is sensible to seek outside help from business turnaround or rescue adviser if you are involved in a business as both a shareholder and as a creditor.

Too many shareholders and directors fail to carry out regular reviews of their businesses before they reach this sort of situation, let alone carry out an emergency review if the company is close to or in insolvency before they make decisions on what they should do.

Working as an objective outsider with a company, a rescue adviser has the tools and experience to properly assess the company, establish where there is a part that is viable and then propose a plan to help it survive what may be relatively short term insolvency, perhaps because of a decline in orders thanks to a recession.

It is in the advisor's interests to offer realistic solutions to help restructure the company on a more stable basis, deal with the company's liabilities in a way that is sustainable and allow it to carry on trading then move forward into growth. Alternatively, when a business is no loger viable the adviser can assist in closing it down in a way that maximises the creditors'interests.

Pelham residents, business owners attend forum on possible smoking ordinance

About 20 people, including four business owners, gathered at the Pelham Civic Center tonight for a public discussion on a possible citywide smoking ban.

Mayor Don Murphy, who would have no vote but has asked the City Council to consider an ordinance banning smoking in all public places, including restaurants and bars, called the forum to gauge public opinion.

Ann Taylor, owner of Ann Taylor Barber & Styling, said she is against a smoking ban and voiced concern over government enforcing such regulations.

"It is my right to have customers who come in to relax and smoke cigarettes and cigars." Taylor said. "This should be left to the individual business owner, and if the city doesn't want people to smoke then it shouldn't tax it or sell it."

Clint Umphrey, owner of Pelham's Texas Roadhouse, said he'd rather have things stay business as usual, but if there is an ordinance passed it needs to "create a level playing field" for all businesses.

Umphrey said he thinks if Pelham adopts an ordinance it needs to be a significant one.

"But just posting signs that say smoke-free or smoke-friendly doesn't accomplish anything," Umphrey said.

City Council President Mike Dickens, Councilwoman Teresa Nichols and Councilman Steve Powell were present for the forum.

The three fielded some questions from the audience, including whether they thought they had the right to go into a business they have no financial stake in and tell the person who's invested money in the business what to do.

All three answered no.

Barry Riddle, Alabama Department of Public Health policy coordinator, presented some state statistics. He said 850 Alabamians die each year from second-hand smoke.

Murphy, who has voiced his concern over children being subject to second-hand smoke in public places, re-emphasized that Pelham does not have a prepared ordinance.

"We just want to find out if the public likes it or doesn't, Murphy said."

The city of Alabaster passed a smoking ordinance last month.

Business partner of Tuscaloosa contractor on trial for bribery testifies

The business partner of a Tuscaloosa contractor being tried on federal bribery charges involving Roy Johnson, the former chancellor of Alabama's two-year college system, testified today that he wrote a letter billing Johnson for work on Johnson's house in 2004.

Johnson had testified last week in Roger Taylor's trial that Taylor helped pay for construction costs and some appliances, doors and windows for a house he was building in 2004 in Opelika. Johnson said that after a grand jury began its investigation in 2006 he and Taylor met and decided to cover up the payments with a back dated bill to make the purchases and payments look like a loan from Taylor's firm, Hall-Taylor Construction.

Curtis Hall, who has been a business partner with Taylor for about 30 years, testified today, however, that he wrote the letter billing Johnson on June 20, 2004.

Hall said Taylor had given him some notes with numbers and names of people on it and asked him to write the letter. He said that Taylor told him it was a loan to Roy Johnson.

Hall said he wrote the letter on his computer at their offices on that Sunday. He said it wasn't unusual for them to work on a Sunday.

Taylor's defense attorney, Mark White, asked Hall why Taylor didn't type the letter. "I can type better than he can," Hall replied.

White asked Hall if he would lie for Taylor. "No, I would not," Hall replied.

Hall said he was told by federal authorities that he was not a target of their investigation because he did nothing wrong.

Hall, under questioning by Assistant U.S. Attorney Pat Meadows, said he never talked to Johnson about repaying the money. He said he was going to let Taylor, who had been the main person talking to Johnson,?handle that.

Hall also said he did not remember seeing the bills to their company for the appliances, windows and doors, and construction company.

Meadows also asked Hall if he remembered testifying to a grand jury that he never remembered seeing a loan to Johnson on their accounting books. Hall said he did say that.?

In all, Hall-Taylor got $3.4 million for managing 16 construction projects at nine state community colleges between 2003 and 2006, when Johnson left his post. Hall-Taylor also was paid another $939,832 for construction management work on two other state projects connected to the two-year college system, the FBI agent testified.

Hall testified that of those amounts, $2.1 million was for the construction management fees for the projects and the remainder for reimbursable expenses, including salaries, copiers and office space. Of that amount, about 40 percent went to taxes and overhead for the company, he said.

Hall was the third witness to be called by Taylor's defense attorneys, who began presenting their case today. The prosecution rested its case on Tuesday in the trial that began with jury selection on Oct. 25.

Johnson has pleaded guilty to charges involving Taylor and similar charges involving other people in the two-year college scandal. As part of his plea agreement he agreed to testify. Johnson is to be sentenced Nov. 18.
